Upper Monroe Neighborhood Association

(UMNA)

Bylaws

Article I: Name
The Name of this association shall be the Upper Monroe Neighborhood Association, hereinafter referred to as "UMNA".

Article II: Boundaries
The boundaries of the neighborhood association shall be from the intersection of Route 490 East and Monroe Avenue, east along 490 to Culver Road, south on Culver Road to Monroe Avenue, west on Monroe Avenue to Pinnacle Road, south and west on Pinnacle Road to Crosman Terrace, south and west on Crosman Terrace to Field street, and north on Field Street (encompassing the east side of Field Street only), to Route 490 East.

Article III: Objectives
A. To ascertain the needs and concerns of the neighborhood.
B. To provide a forum which focuses on these needs and concerns.
C. To serve as a vehicle to take positive action to address these needs and concerns.

Article IV: Membership
A. Active Membership - All persons 18 years of age or older who reside, own, lease or rent property in the neighborhood (as defined in Article II) shall be eligible for active membership in the Association. B. Each active member shall be entitled to one vote in the general affairs of the Association.

Article V: Annual Donation
A. Annual dues required for active membership in the Association shall be determined by vote of the Executive Committee.
B. The dues for senior citizens and students will be pro-rated as 50% of the regular annual dues. C. Dues will be collected on a calendar year basis. Dues collected after October 31st will be credited toward the following year.

Article VI: General Membership Meetings
A. The Association shall have a minimum of two semi-annual meetings to be held in the spring and fall.
B. Special meetings may be called by a majority of the Executive Committee, or upon petition of seven members, and must be held within 30 days of the said petition.
C. Notices of any meeting except an emergency meeting shall be given 14 days in advance and shall contain the agenda.
D. Emergency Meetings may be called by three members of the Executive Committee and shall be held as soon as possible.
E. A Quorum shall consist of at least 10% of the dues-paying members.

Article VII: Officers and Executive Committee
A. The Officers shall consist of President, Vice President, Recording/Corresponding Secretary, Treasurer, and Past-President.
B. The voting-member Executive Committee shall consist of the duly elected officers, the Street Representatives and the Chairperson of each Standing Committee. Proxy voting is prohibited.
C. The Executive Committee shall meet monthly. A Quorum shall consist of five members. Failure of a member to attend three consecutive meetings may be grounds for removal.

Article VIII: Powers and Duties of Officers
A. The President Shall:
1. be the chief administrative officer of the Association,
2. preside at meetings of the Association and the Executive Committees, and
3. perform the usual other duties of a president.
B. The Vice-President, shall:
1. in the absence of the President, perform the duties of the President,
2. serve on the nominating committee, appoint the Street Representatives and serve as their coordinator and
3. perform other duties as may be assigned by the President.
C. The Recording/Corresponding Secretary shall:
1. keep a record of the proceedings of the Association and the Executive Committee,
2. maintain a copy of the proceedings of other meetings, and
3. give the required notice for the annual and other meetings.
D. The Treasurer shall:
1. deposit all monies collected by the organization into its bank account within 30 days of the receipts of such funds.
2. keep records showing the source of all income and purpose of expenditures,
3. obtain the approval of the executive committee for all expenditures of more than $50.00,
4. present books and checkbook for the President's verification upon request,
5. present the financial report at each general meeting, and
6. present the state of the finances at each Executive Committee meeting.
E. Past President

Article IX: Street Representatives
A. Street Representatives shall:
1. serve as liaisons between residents of their streets and the Executive Committee,
2. attend monthly meetings of the Executive Committee,
3. assume responsibility of the distribution of UMNA publications to the residents of their streets, and
4. be active members of UMNA Article X Committees
B. The executive Committee may convene Standing Committees as it deems necessary.
C. The Chairperson of each Standing Committee will be appointed by the President with the approval of the Executive Committee.
D. The Nominating Committee shall consist of the Past President, the Vice President, three Street representatives, and two Standing Committee Chairperson. The members of this committee shall select their own chairperson.

Article X: Elections
A. Elections of officers will be held annually. The president and Vice-President shall be elected in even numbered years and the Secretary and Treasurer in odd numbered years and the Fall General Meeting.
B. The slate of candidates for election shall be given to all members with notice of the meeting.
C. Nominations will also be accepted from the floor.
D. Balloting for officers shall be done by acclamation.
E. A plurality of votes cast shall be sufficient to elect.
F. Offices that become vacant in mid-term shall be filled by the President with the approval of the Executive Committee.

Article XI: Terms of Office
A. The term of office for each elected official shall be two years.
B. The term of office will begin on January 1st following the general elections.
C. An elected official may not hold the same office for more than two consecutive terms.

Article XII: Amendments
A. Petitions for amendments to the By-Laws shall be submitted to the Secretary at least 30 days prior to the General Meeting at which it is to be brought up.
B. The proposed amendment shall be published in the agenda distributed before the meeting.
C. Voting on said amendment may take place at said meeting.
D. A two-thirds vote of the active members present shall be required to amend.

Article XIII: Dissolution
This Association may be dissolved by the vote of 2/3 of the Executive Committee. In the event of dissolution of the Association, any cash on hand held in the name of the Association shall be contributed to the South East Area Coalition, its successor or assignee.
